1. General
1.1 These Terms & Conditions apply to all quotations, sales, installations, repairs, servicing, maintenance visits, emergency call-outs, and other works completed by Paxs Secure Ltd (“the Company”).
1.2 By accepting a quotation, instructing works to proceed, or allowing works to commence, the customer agrees to these Terms & Conditions in full.
1.3 All quotations remain valid for 30 days unless otherwise stated in writing.
1.4 The Company reserves the right to amend quotations where unforeseen issues, additional labour, access difficulties, or material price increases arise. Any variations will be discussed with the customer before additional chargeable work proceeds where reasonably possible.
2. Pricing & Payment Terms
2.1 All prices are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate.
2.2 Payment terms are strictly as stated on the quotation or invoice. Unless agreed otherwise in writing, payment is due within 7 days of invoice date.
2.3 The Company reserves the right to request deposits or staged payments prior to ordering materials or commencing works.
2.4 Late payments may incur:

Statutory interest
-
Debt recovery costs
-
Suspension of future works, maintenance visits, or warranty support
2.5 Ownership of all supplied goods, materials, doors, shutters, operators, controls, and parts remains with Paxs Secure Ltd until payment has been received in full.
2.6 Emergency call-outs, aborted visits, waiting time, or failed access appointments remain chargeable.
2.7 If an engineer attends site and is delayed due to customer availability, site access issues, or waiting for third parties, labour and waiting time may be charged accordingly.
3. Quotations & Scope of Works
3.1 Quotations are based only on the visible condition of equipment and information available at the time of survey. Hidden defects or additional faults may only become apparent during works.
3.2 Any additional works outside the original quotation scope will be chargeable.
3.3 Unless specifically included in writing, quotations exclude:

Electrical upgrades
-
Builders work
-
Decoration
-
Structural alterations
-
Asbestos removal
-
Disposal of hazardous materials
-
Access equipment/scaffolding beyond standard requirements
3.4 Lead times are estimates only and may vary due to supplier availability, manufacturing delays, or circumstances outside the Company’s control.
4. Warranty
4.1 Workmanship Warranty
Paxs Secure Ltd provides a workmanship warranty on installations and repairs completed by the Company. Warranty periods may vary depending on the type of work undertaken and will be confirmed where applicable.
The workmanship warranty covers faults directly caused by defective installation or workmanship carried out by Paxs Secure Ltd.
4.2 Manufacturer’s Warranty
All parts, motors, controls, batteries, operators, shutters, garage doors, and accessories supplied are subject to the individual manufacturer’s warranty terms and conditions.
Manufacturer warranties are entirely at the discretion of the manufacturer and may require inspection, testing, or return of defective items before approval. Paxs Secure Ltd cannot guarantee approval of manufacturer warranty claims.
The Company is not responsible for delays, refusals, or limitations imposed by manufacturers regarding warranty claims.
4.3 Warranty Exclusions
Warranty does not cover:

Accidental damage

Vehicle impact damage

Misuse or abuse

Lack of maintenance
-
Fair wear and tear
-
Storm or weather damage

Vandalism or attempted theft

Electrical supply faults or power surges

Third-party interference or repairs

Damage caused by blocked tracks, obstructions, or misuse

Battery deterioration over time
-
Cosmetic marks, scratches, or fading
4.4 Warranty Void Conditions
Any warranty provided by Paxs Secure Ltd may become void if:

Outstanding invoices remain unpaid beyond agreed payment terms

The customer is in breach of payment obligations

Equipment has been altered, repaired, or tampered with by others
-
Recommended servicing or safety repairs have been declined
-
The system has been misused or operated outside manufacturer guidelines
The Company reserves the right to suspend warranty support until all overdue balances are cleared in full.
5. Servicing & Maintenance
5.1 Regular servicing is strongly recommended for all doors, shutters, and automatic systems to maintain safe and reliable operation.
5.2 Servicing does not guarantee prevention of future breakdowns or component failures.
5.3 Any safety issues identified during maintenance visits will be reported to the customer. Continued operation after safety recommendations are declined is entirely at the customer’s own risk.
5.4 The customer remains responsible for ensuring equipment complies with workplace safety regulations and statutory inspection requirements where applicable.
6. Access & Site Responsibilities
6.1 The customer must provide safe and adequate access to the work area.
6.2 The Company reserves the right to refuse works where unsafe conditions exist.
6.3 Delays caused by restricted access, parked vehicles, stock obstruction, or unavailable site contacts may result in additional charges.
6.4 The customer is responsible for ensuring suitable electrical supplies are available where required.
7. Emergency Call-Outs
7.1 Emergency call-out attendance times are estimates only and are subject to engineer availability, weather, traffic, and workload.
7.2 Emergency works may be limited to making equipment safe or securing premises until further repairs can be completed.
7.3 Out-of-hours works are chargeable at the applicable emergency rate.
8. Limitation of Liability
8.1 Paxs Secure Ltd shall not be liable for:

Loss of business

Loss of earnings
-
Loss of profit
-
Consequential losses
-
Security breaches beyond the Company’s reasonable control

Delays caused by supplier or manufacturer issues
8.2 Liability is limited to the value of the works supplied by the Company.
9. Cancellations
9.1 Orders for specially manufactured or custom items may not be cancellable once production has commenced.
9.2 Cancellation charges may apply where materials have been ordered or labour allocated.
10. Force Majeure
The Company shall not be held responsible for delays or failure to perform obligations due to events outside reasonable control, including but not limited to:

Severe weather

Supply chain shortages

Manufacturer delays

Power outages
-
Industrial action
-
Road closures
-
Acts of God
11. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
12. Acceptance
Acceptance of any quotation, invoice, installation, repair, maintenance visit, or instruction to proceed confirms acceptance of these Terms & Conditions.
